Terms of use
Last updated: October 25, 2026 — version 2.3
This English translation is provided for information only. Only the French version is legally binding and prevails in the event of any discrepancy. The Terms you accept when signing up are the French ones: read the French version.
Article 1 — Purpose and acceptance
These general terms of use (the “Terms”) govern access to and use of the AcquiScan online service (the “Service”), published by Hugo Aubry, sole trader trading as Litho 3D (the “Publisher”), whose contact details appear in the legal notice.
Creating an account constitutes full and complete acceptance of the Terms, given by ticking a box at sign-up. Users who do not accept the Terms must not use the Service. The applicable version is the one in force on the date of use; it can be consulted at any time, in French, at acquiscan.fr/cgu.html.
Article 2 — Definitions
- User: any person holding an account, acting in a personal capacity or on behalf of a company or institution.
- Listing: an offer to sell a business published by a third party (in particular Transentreprise, Bpifrance Transmission and their partners).
- Advertiser: the intermediary or seller who published the Listing.
- Generated Content: scores, analyses, summaries, estimates, messages and documents produced automatically by the Service, in particular using artificial intelligence systems.
- Agent: all the automated functions of the Service (monitoring, analysis, writing, form filling).
Article 3 — Description of the Service
The Service makes it possible in particular to: monitor Listings published on public platforms and filter them according to the User's criteria; analyze and score Listings; consult public data on companies; get help writing first contacts and a “Projet de reprise” (acquisition plan) document; get help filling in Advertisers' forms (information ready to copy and, optionally, filling by means of a browser extension); receive alerts on the Telegram messaging service; use a specialized conversational assistant; track deals.
The Service relates exclusively to businesses located in France. Listings come from French platforms (in particular Transentreprise and Bpifrance Transmission), company data comes from French public sources (the French State's company directory, BODACC), and the Service is designed for the acquisition of French businesses. It is not suited to projects involving businesses located outside France.
Features may evolve, be added, modified or withdrawn. The Publisher is under no obligation to maintain any particular feature during the beta phase.
Article 4 — Account
Registration is reserved for adults with full legal capacity, or for duly authorized representatives of a legal entity. The User undertakes to provide accurate information and keep it up to date, to keep their login credentials confidential and not to share their account. Any action carried out from the account is deemed to have been carried out by its holder. The User informs the Publisher without delay of any unauthorized use of their account.
Article 5 — Free beta and financial terms
During the beta phase, access to the Service is free of charge. No means of payment is requested. The free access period granted to each User is shown in their account. The end of the beta phase is announced to Users at least thirty (30) days in advance; access may then be suspended until the User subscribes to a paid plan, if they so choose.
Accounts created before October 12, 2026 keep the twelve (12) month free access period announced to them when they signed up.
The introduction of paid plans will be subject to separate general terms of sale, brought to Users' attention before they come into force. No amount will be charged without the User's express prior consent; there is no automatic paid renewal of the free beta.
Article 6 — Artificial intelligence and nature of the information
The User is informed that they are interacting with artificial intelligence systems and that Generated Content is produced automatically. It is identified as such in the Service.
Generated Content may be inaccurate, incomplete or out of date. It is based on information published by third parties, not all of which the Publisher verifies or controls. It is decision support and in no case constitutes investment advice, or legal, tax, accounting, employment or financial advice, nor a recommendation to acquire or not to acquire a business. The Publisher is neither a financial investment advisor, nor a business-transfer intermediary, nor a real estate agent.
Before any decision (letter of intent, offer, financing, signature), the User undertakes to check the information with its sources, to carry out the necessary due diligence and to be assisted by qualified professionals (chartered accountant, lawyer, bank). The User remains the sole judge of the appropriateness of their decisions.
The identification of a company behind an anonymous Listing results from automatic cross-checking: it is a hypothesis, to be confirmed with the Advertiser.
Article 7 — Contacting Advertisers
Messages and documents prepared by the Service are reviewed, modified where appropriate and sent by the User themselves, in their own name, via the Advertiser's form or their own email. Where applicable, the optional auto-fill extension enters the information into the form opened by the User; accepting the terms of the Advertiser's website and confirming the sending are the User's responsibility. The User is solely responsible for the content of their messages and for their compliance with the terms of third-party websites.
The User undertakes to respect the confidentiality inherent in business-sale transactions: they go through the designated intermediary when the Listing so requires and refrain from approaching the seller, its employees, customers or suppliers contrary to that request. Any contact details presented by the Service come from public sources and may only be used for the purposes of a serious acquisition project, in compliance with the GDPR and Article L.34-5 of the French Postal and Electronic Communications Code.
Article 8 — Obligations and prohibited uses
In particular, the User shall not:
- extract, copy or reuse the contents and databases of the Service systematically or massively, resell them or make them available to third parties;
- use robots, scripts or any automated means to access the Service outside the functions provided, or circumvent usage limits or security measures;
- attempt to access other users' data or interfere with the operation, integrity or security of the Service;
- use the Service for unlawful or fraudulent purposes, abusive commercial prospecting, harassment or unfair competition;
- submit unlawful content to the assistant, or personal data of third parties without a legal basis.
Article 9 — Availability
The Service is in principle accessible 24 hours a day, 7 days a week, subject to maintenance operations, outages and events beyond the Publisher's control, in particular interruptions by hosting providers, AI providers, Listing platforms or Telegram. The Publisher's obligation is an obligation of means only (obligation de moyens), not an obligation of result. Daily usage limits may apply in order to preserve the quality of the Service.
Article 10 — Liability
The Publisher is not liable for: the content of Listings and third-party websites; decisions taken by the User on the basis of Generated Content; loss of opportunity, financial losses or indirect damage; temporary unavailability of the Service; use of the Service contrary to the Terms.
In all cases and to the extent permitted by law, the Publisher's liability, for all causes combined, is limited to the amounts actually paid by the User for the Service during the twelve months preceding the event giving rise to liability, i.e. zero euros during the free beta. These limitations do not apply in the event of gross negligence or wilful misconduct, to personal injury, or where the law prohibits them, in particular with regard to consumers.
Article 11 — Intellectual property
The Service and its components remain the exclusive property of the Publisher. The User benefits from a personal, non-exclusive, non-transferable and revocable right of use, limited to the duration of their access. Documents produced for the User (messages, acquisition plan) may be freely used by them in their own process. The User retains their rights over the information they provide (profile, CV) and grants the Publisher the right to process it only to the extent necessary for the operation of the Service.
Article 12 — Personal data
The processing of personal data is described in the privacy policy, which forms an integral part of the Terms. The User can download their data and delete their account at any time from their Settings. The Publisher may consult the data in the User's account only to the extent necessary for support, security and improvement of the Service, under the conditions described in the privacy policy. This data is neither shared with third parties nor used for other purposes.
Article 13 — Term, suspension and termination
The Terms apply for the entire duration of use of the Service. The User may delete their account at any time, free of charge and without giving reasons. The Publisher may suspend or delete an account in the event of a breach of the Terms, or of fraudulent use or use harmful to the Service or to third parties, after informing the User, except in an emergency or where required by law. The Publisher may end the beta Service with reasonable notice; the User will then be able to retrieve their data.
Article 14 — Changes to the Terms
The Publisher may change the Terms. Substantial changes are notified to Users at least fifteen days before they come into force, by a message in the Service or by email. Users who refuse them may delete their account; continued use constitutes acceptance.
Article 15 — Miscellaneous
If any provision of the Terms is declared void, the other provisions remain in force. The Publisher's failure to invoke a breach does not constitute a waiver. The Publisher's computerized records, kept under reasonable security conditions, are evidence of the exchanges and actions carried out in the Service, unless proven otherwise. The Publisher cannot be held liable for a failure resulting from force majeure within the meaning of Article 1218 of the French Civil Code.
Article 16 — Governing law, complaints and disputes
The Terms are governed by French law. This choice of law does not deprive consumers of the protection afforded to them by the mandatory provisions of the law of their country of habitual residence, in accordance with Article 6 of Regulation (EC) No 593/2008 of 17 June 2008 (“Rome I”). Any complaint may be sent to contact@litho3d.fr; the Publisher undertakes to reply within thirty days. After an unsuccessful written complaint, consumers may refer the matter free of charge to a consumer mediator under the conditions of Articles L.611-1 et seq. of the French Consumer Code; the mediator's contact details will be provided with the general terms of sale of the paid plans. Failing an amicable solution, disputes fall under the jurisdiction of the competent courts according to the ordinary rules of law; where the User acts for professional purposes, jurisdiction is conferred on the courts within the jurisdiction of the Besançon Court of Appeal.
