General terms of use and sale of AcquiScan
Last updated: November 3, 2026 — version 3.0
This English translation is provided for information only. Only the French version is legally binding and prevails in the event of any discrepancy. The Terms you accept when signing up are the French ones: read the French version.
TITLE I — COMMON PROVISIONS
Article 1 — Publisher, purpose and acceptance
These general terms (the “Terms”) govern access to the AcquiScan online service (the “Service”) and its sale by subscription.
The Service is published and sold by Hugo Aubry, sole trader (entrepreneur individuel, EI), French micro-entreprise, trading as Litho 3D (the “Publisher”), SIREN 930 435 870, registered in the French National Business Register (Registre national des entreprises), 7 rue du Clair Soleil, 25300 Arçon, France. Phone: +33 6 61 66 49 63. Email: [email protected].
Creating an account constitutes acceptance of the Terms, given by ticking a box. Any subscription to a paid plan requires a new express acceptance when the order is placed. The contract is concluded in French. The version accepted when ordering is sent to the User by email, remains downloadable from their account and is kept by the Publisher, who provides access to it on request.
Article 2 — Definitions
- User: any person holding an account.
- Consumer: a natural person acting for purposes outside their commercial, industrial, craft, professional or agricultural activity. A User who declares themselves a “private individual” (particulier) when ordering is treated as such.
- Professional: a User who declares that they are acting for their professional activity or on behalf of a company or institution.
- Trial: free 30-day access, with no means of payment.
- Subscription: paid access, monthly or annual.
- Promotional Code: a code giving free access for the period it indicates.
- Beta Tester: the holder of an account created during the beta phase and shown as “Bêta-testeur” (beta tester) in their account.
- Listing: an offer to sell a business published by a third party.
- Advertiser: the intermediary or seller who published the Listing.
- Generated Content: scores, analyses, summaries, estimates, messages and documents produced automatically by the Service, in particular using artificial intelligence systems.
- Agent: all the automated functions of the Service (monitoring, analysis, writing, form filling).
Article 3 — Description of the Service
The Service makes it possible in particular to: monitor Listings and filter them according to the User's criteria; analyze and score Listings; consult public data on companies; get help writing first contacts and a “Projet de reprise” (acquisition plan) document; get help filling in Advertisers' forms (information ready to copy and, optionally, filling by means of a browser extension); receive alerts on the Telegram messaging service; use a specialized conversational assistant; track deals.
The Service relates exclusively to businesses located in France. Listings come from third-party platforms (Transentreprise, Bpifrance Transmission, CessionPME, Les annonces du commerce and CRA), company data comes from French public sources (the French State's company directory, Annuaire des entreprises, and the BODACC). It is not suited to projects involving businesses located outside France. The presence of a Listing depends on its publication and availability from third parties: the Publisher does not guarantee that Listings are exhaustive.
Compatibility. The Service is used with an up-to-date web browser and an internet connection. The extension is available for Chrome and Edge, on desktop. Telegram is optional and requires an account with that third party.
Supply. Access is provided as soon as the account is created for the Trial and, for the Subscription, on the date shown in the order summary.
Quality level. No minimum level of service quality is offered contractually. This statement does not limit the legal guarantee of conformity (Article 15).
Accessibility. The Service has not undergone an accessibility audit. Contractual information is provided on request in an accessible format, at [email protected], and this information is kept up to date on this page.
Article 4 — Account
Registration is reserved for adults with full legal capacity, or for duly authorized representatives of a legal entity. The User provides accurate information and keeps it up to date, keeps their login credentials confidential and does not share their account. The User informs the Publisher without delay of any unauthorized use.
Article 5 — Artificial intelligence and nature of the information
The User is informed that they are interacting with artificial intelligence systems and that Generated Content is produced automatically. It is identified as such in the Service.
Generated Content may be inaccurate, incomplete or out of date. It is based on information published by third parties, not all of which the Publisher verifies or controls. It is decision support and in no case constitutes investment advice, or legal, tax, accounting, employment or financial advice, nor a recommendation to acquire or not to acquire a business. The Publisher is neither a financial investment advisor, nor a business-transfer intermediary, nor a real estate agent.
Before any decision (letter of intent, offer, financing, signature), the User checks the information with its sources, carries out the necessary due diligence and is assisted by qualified professionals (chartered accountant, lawyer, bank).
The identification of a company behind an anonymous Listing results from automatic cross-checking: it is a hypothesis, to be confirmed with the Advertiser.
Article 6 — Contacting Advertisers
Messages and documents prepared by the Service are reviewed, modified where appropriate and sent by the User themselves, in their own name, via the Advertiser's form or their own email. Where applicable, the optional extension enters the information into the form opened by the User; accepting the terms of the Advertiser's website and confirming the sending are the User's responsibility. The User is responsible for the content of their messages and for their compliance with the terms of third-party websites.
The User respects the confidentiality inherent in business-sale transactions: they go through the designated intermediary when the Listing so requires and refrain from approaching the seller, its employees, customers or suppliers contrary to that request. Any contact details presented by the Service come from public sources and may only be used for the purposes of a serious acquisition project, in compliance with the GDPR and Article L.34-5 of the French Postal and Electronic Communications Code.
Article 7 — Prohibited uses
In particular, the User shall not:
- extract, copy or reuse the contents and databases of the Service systematically or massively, resell them or make them available to third parties;
- use robots, scripts or any automated means to access the Service outside the functions provided, or circumvent usage limits or security measures;
- attempt to access other users' data or interfere with the operation, integrity or security of the Service;
- use the Service for unlawful or fraudulent purposes, abusive commercial prospecting, harassment or unfair competition;
- submit unlawful content to the assistant, or personal data of third parties without a legal basis.
Article 8 — Availability, support and security
The Service is in principle accessible 24 hours a day, 7 days a week, subject to maintenance operations, outages and external events, in particular interruptions by hosting providers, AI providers, Listing platforms or Telegram. Daily usage limits, shown in the Service, may apply in order to preserve its quality. These provisions do not exclude the legal guarantee of conformity.
Support and complaints: by email at [email protected], free of charge. No telephone support is offered. Up-to-date pricing information is available at https://acquiscan.fr/en/tarifs.
Security incidents. In the event of an incident, threat or vulnerability, the Publisher may in particular correct the Service, temporarily suspend a function or access, renew technical secrets, and inform the Users concerned and, where applicable, the CNIL (French data protection authority).
Article 9 — Intellectual property
The Service and its components remain the exclusive property of the Publisher, subject to third-party rights. The User benefits from a personal, non-exclusive and non-transferable right of use, limited to the duration of their access. Documents produced for the User (messages, acquisition plan) may be freely used by them in their own process. The User retains their rights over the information they provide (profile, CV, documents) and grants the Publisher the right to process it only to the extent necessary for the operation of the Service.
Article 10 — Personal data
Processing is described in the privacy policy. The User can download their data and delete their account at any time from their Settings. The Publisher nevertheless keeps invoices and accounting records for the legal period.
TITLE II — FREE ACCESS
Article 11 — 30-day free trial
Every new User benefits from a 30-day Trial starting when their account is created, once per person. No means of payment is requested.
At the end of the Trial, no subscription starts automatically and nothing is owed. Access to the functions of the Service is suspended until a Subscription is taken out, if the User so chooses. Data remains available for download and may be deleted at any time by the User; its retention is described in the privacy policy.
Article 12 — Promotional Codes
A Promotional Code gives free access to the Service for the period and under the conditions shown when it is entered. It is personal, unless otherwise stated, may not be resold and has no monetary value. No means of payment is requested to activate it and no paid subscription starts when it ends. The User is notified by email seven (7) days before the free access ends.
The Publisher may refuse a code that has expired or was obtained fraudulently. It may end the access granted in the event of a serious breach of the Terms, under the conditions of Article 22.
Article 13 — Beta Testers: free access for life
In thanks for their participation in the beta, Beta Testers keep free access to the Service, with no time limit, for as long as their account exists and the Service is operated. This access replaces, on more favorable terms, any previously announced period of free access.
It is personal and may not be assigned or transferred. It gives access to the functions and usage limits of the Subscription. No means of payment is requested and no amount is charged.
The access ends if the holder deletes the account, in the event of a serious breach of the Terms (Article 22), or if the Service is permanently discontinued. The Publisher undertakes to notify Beta Testers at least six (6) months before permanent discontinuation and to allow them to retrieve their data.
TITLE III — SALE OF THE SUBSCRIPTION
Article 14 — Plans, prices and ordering
14.1 Plans. Two plans give access to the same functions:
| Plan | Price | Duration |
|---|---|---|
| Monthly | €29 per month | No commitment, indefinite term, monthly payment |
| Annual | €290 per year | 12 months, tacitly renewable, annual payment in one go |
14.2 Prices. Prices are in euros and correspond to the total amount payable, with no additional charges. The applicable VAT statement appears on the order screen and on the invoice. Payment does not entail any particular communication costs.
14.3 Ordering. The order proceeds as follows:
- choice of plan from the User's account;
- statement of whether the User is a private individual or a professional and, for the latter, their company name and SIREN number;
- display of the summary (plan, price, duration, renewal, date of first payment, right of withdrawal); the User can go back and correct their order until it is validated;
- acceptance of the Terms and, for the Consumer, request for immediate start;
- validation using the “Commander avec obligation de paiement” (order with obligation to pay) button;
- entry of the means of payment on Stripe's secure page;
- sending of a confirmation on a durable medium (email), with the Terms and the withdrawal form.
The contract is concluded when the order is validated, subject to payment authorization.
14.4 Subscribing during the Trial. The remaining Trial days are kept. The date of the first payment, i.e. the day after the end of the Trial, is shown before validation and a reminder is sent by email seven (7) days in advance. The User may cancel free of charge until that date.
Article 15 — Legal guarantees
The text of the box below is imposed by the annex to Article D. 211-4 of the French Consumer Code. It benefits Consumers and non-professionals. English translation for information only.
The consumer is entitled to the legal guarantee of conformity in the event of a lack of conformity appearing during the term of the subscription (monthly subscription: the entire term of the subscription, in periods of one month; annual subscription: twelve months and each renewal period) from the supply of the digital content or digital service. During this period, the consumer need only establish the existence of the lack of conformity and not the date on which it appeared.
The legal guarantee of conformity entails the obligation to provide all updates necessary to maintain the conformity of the digital content or digital service during the term of the subscription (monthly subscription: the entire term of the subscription, in periods of one month; annual subscription: twelve months and each renewal period).
The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without major inconvenience to them.
The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or digital service, if:
1° The professional refuses to bring the digital content or digital service into conformity;
2° Bringing the digital content or digital service into conformity is unjustifiably delayed;
3° Bringing the digital content or digital service into conformity cannot take place without costs being imposed on the consumer;
4° Bringing the digital content or digital service into conformity causes major inconvenience for the consumer;
5° The lack of conformity of the digital content or digital service persists despite the professional's unsuccessful attempt to bring it into conformity.
The consumer is also entitled to a price reduction or to termination of the contract when the lack of conformity is so serious that it justifies an immediate price reduction or termination. The consumer is then not required to request that the digital content or digital service be brought into conformity first.
Where the lack of conformity is minor, the consumer is entitled to cancel the contract only if the contract does not provide for payment of a price.
Any period of unavailability of the digital content or digital service for the purpose of bringing it back into conformity suspends the remaining guarantee until the digital content or digital service is supplied in conformity again.
These rights result from the application of Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.
A professional who obstructs in bad faith the implementation of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be increased to up to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This guarantee gives the right to a price reduction if the digital content or digital service is kept, or to a full refund in exchange for giving up the digital content or digital service.
To exercise these rights: [email protected].
Article 16 — Payment and invoicing
16.1 Payment is made by bank card through the payment provider Stripe. Full card details are entered at Stripe: the Publisher has no access to them.
16.2 The price is charged in advance, at each due date, on the anniversary date of the subscription. The User authorizes these payments for the duration of their Subscription and may end them in accordance with Article 20.
16.3 An invoice is made available in the User's account at each payment and sent by email.
16.4 Failed payment. In the event of failure, the User is notified by email and new attempts are made. If the situation is not regularized within fourteen (14) days of that email, access may be suspended, after a reminder, until regularization. If there is no regularization within thirty (30) days of the suspension, the Subscription ends. Nothing is owed for the period of suspension. No fees are charged to the Consumer.
16.5 Professionals. The price is payable in advance on the due date; no discount is granted for early payment. Any delay automatically entails late-payment penalties at three times the legal interest rate and a fixed recovery charge of €40 (Article L.441-10 of the French Commercial Code).
Article 17 — Term and renewal
17.1 Monthly plan. It is concluded for an indefinite term, with no minimum duration, with one payment per one-month period. It may be terminated at any time (Article 20).
17.2 Annual plan. It is concluded for twelve months from its start date, then tacitly renewed for periods of twelve months, unless the User declines renewal at any time before the renewal date. The Consumer and the non-professional receive, by dedicated email, no earlier than three months and no later than one month before the deadline, the information provided for in Article L.215-1 (reproduced in Annex 1). Failing this, they may terminate the contract free of charge at any time from the renewal date, and advance payments made after that date are refunded within thirty days, less the sums corresponding to performance up to termination.
17.3 The minimum term of the annual plan does not exceed 12 months. The end date of the current period appears on each invoice for this plan.
Article 18 — Price changes
18.1 Monthly plan. The Publisher may change the price by notifying the Consumer by email at least thirty (30) days before the new price applies, so that they can terminate free of charge.
18.2 Annual plan. The price does not change during a current twelve-month period. The price for the following period is shown in the information provided for in Article 17.2, so that the User can decline renewal.
18.3 VAT. If the Publisher becomes liable for VAT, the price payable by the Consumer is only changed under the conditions of Articles 18.1 and 18.2. The Professional is notified in the same way; the price shown to them becomes a price excluding tax, plus VAT.
Article 19 — Consumer's right of withdrawal
The Professional does not benefit from the right of withdrawal.
Right of withdrawal
You have the right to withdraw from this contract without giving any reason within fourteen days.
The withdrawal period expires fourteen days after the day of conclusion of the contract.
To exercise the right of withdrawal, you must notify us (Hugo Aubry, EI, Litho 3D, 7 rue du Clair Soleil, 25300 Arçon, France; +33 6 61 66 49 63; [email protected]) of your decision to withdraw from this contract by an unequivocal statement (for example, a letter sent by post or an email). You may use the model withdrawal form (Annex 2), but it is not obligatory.
You can also exercise your right of withdrawal online from the Subscription page of your account: https://app.acquiscan.fr/#/abonnement. If you use this online function, we will send you, as soon as possible, an acknowledgment of receipt of the withdrawal on a durable medium (for example, by email), including its content and the date and time of its submission.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we will reimburse all payments received from you, without undue delay and in any event no later than fourteen days from the day on which we are informed of your decision to withdraw from this contract. We will carry out the reimbursement using the same means of payment as you used for the initial transaction, unless you expressly agree otherwise; in any event, you will not incur any fees as a result of the reimbursement.
If you requested that the provision of services begin during the withdrawal period, you shall pay us an amount proportionate to what has been provided until you informed us of your withdrawal from this contract, in comparison with the full coverage of the contract.
In practice. This amount is deducted from the refund and is calculated by the number of days of paid access: price of the period × days elapsed ÷ days in the period. Example, after 5 days: monthly plan in a 30-day month, €29 × 5 ÷ 30 = €4.83; annual plan, €290 × 5 ÷ 365 = €3.97. Nothing is owed for Trial days, or if withdrawal takes place before the first payment. After withdrawal, paid access ends and your content remains retrievable in accordance with Article 21.
Article 20 — Termination by the User
20.1 How to terminate. The User terminates free of charge and without giving reasons using the “Résilier votre contrat” (terminate your contract) button, directly accessible from the Subscription page of their account: https://app.acquiscan.fr/#/abonnement. They can also write to [email protected]. The Publisher confirms receipt and states on a durable medium, within a reasonable time, the end date of the contract and the effects of termination.
20.2 Monthly plan, Consumer. Termination takes effect, at the Consumer's choice indicated in their request:
- either at the end of the period already paid, a date shown on screen, with no refund;
- or no later than ten (10) days after receipt of their request, on the date they choose, with a refund within fourteen days of the part of the price corresponding to the days not supplied.
No compensation is due.
20.3 Annual plan. The User may decline renewal at any time before the renewal date: access continues until the end of the paid period. Except in the cases provided for by law or these Terms (withdrawal, lack of conformity, breach by the Publisher, absence of the information provided for in Article L.215-1, change refused under Article 23), the current twelve-month period is not refunded.
20.4 Professional. Termination of the monthly plan takes effect at the end of the paid period; non-renewal of the annual plan at the end of the current period. No pro rata refund is due, except in the event of a breach by the Publisher.
20.5 Deleting the account. Deleting the account constitutes a request for termination and does not affect the rights above. Before it is confirmed, the screen recalls its effects on the Subscription and any refund.
Article 21 — Effects of the end of the contract
At the end of the contract, payments stop and paid access ends. The User can download their data and the content they provided or created, free of charge and in a commonly used, machine-readable format, for thirty (30) days; the data is then processed in accordance with the privacy policy. Their invoices remain available on request.
Article 22 — Suspension and termination by the Publisher
22.1 The Publisher may suspend an account, without notice if urgency so requires, in the event of a threat to the security of the Service, fraudulent use or a legal obligation. It informs the User and gives reasons as soon as possible.
22.2 In the event of a serious breach of Articles 4, 6 or 7, the Publisher may terminate the contract after a formal notice that has remained without effect for fifteen (15) days, unless the breach cannot be remedied. The sums corresponding to the remaining period are refunded to the Consumer, except for compensation for damage suffered by the Publisher to be claimed under ordinary law.
22.3 The Publisher may end the Subscription without cause, or discontinue the Service, subject to at least thirty (30) days' notice and to Article 13 for Beta Testers. It then refunds the part of the price corresponding to the period not supplied and allows data to be retrieved.
Article 23 — Changes to the Service and the Terms
23.1 Changes to the Service. The Publisher may change the Service for a valid reason: security, technical developments, availability or terms of sources and providers, legal obligation, or improvement of functions. These changes are at no additional cost. Where a change not necessary for conformity has a negative impact on access to the Service or on its use, the Consumer is informed in advance, clearly and on a durable medium, with the date of application. They have the right to refuse it; if the Service cannot be maintained without this change, they may terminate the contract free of charge within thirty (30) days, unless the impact is minor, and are refunded pro rata.
23.2 Changes to the Terms. The Terms accepted when ordering apply to the current contract. A new version is notified at least thirty (30) days in advance, by email. It applies to the monthly plan if the User does not terminate before it comes into force, free of charge, and to the annual plan from its renewal. Free accounts are notified at least fifteen (15) days in advance and may delete their account. No change may reduce the Consumer's legal rights.
Article 24 — Liability
24.1 All Users. The Service is a decision-support tool. The content of Listings and third-party websites is published under the responsibility of their authors, and decisions on acquisition, investment or financing rest with the User. The Publisher's obligation is an obligation of means (obligation de moyens), without prejudice to the legal guarantee of conformity owed to the Consumer. No liability is incurred in the event of force majeure (Article 1218 of the French Civil Code).
24.2 Consumer and non-professional. No provision of the Terms removes or reduces the right to compensation in the event of a breach by the Publisher of its obligations.
24.3 Professional. To the extent permitted by law, the Publisher is not liable for indirect damage, in particular loss of opportunity, revenue or margin, and its liability, for all causes combined, is limited to the amounts actually paid for the Service during the twelve months preceding the event giving rise to liability. This limitation does not apply to gross negligence or wilful misconduct, to personal injury, or to the non-performance of an essential obligation.
Article 25 — Miscellaneous
If any provision is declared void, the others remain in force. The Publisher's failure to invoke a breach does not constitute a waiver. The Publisher's computerized records, kept under reasonable security conditions, are evidence unless proven otherwise, which may be done by any means. The Publisher may not assign the contract to a third party without informing the User, and such an assignment may not reduce the User's rights.
Article 26 — Governing law, complaints, mediation and disputes
26.1 The Terms are governed by French law. This choice does not deprive the Consumer of the protection of the mandatory provisions of the law of their country of habitual residence (Article 6 of Regulation (EC) No 593/2008, “Rome I”).
26.2 Complaints. Any complaint may be sent to [email protected] or to the Publisher's address. A reply is provided within thirty days.
26.3 Consumer mediation. After an unsuccessful written complaint, the Consumer may refer the matter free of charge to the consumer mediator to which the Publisher belongs, under the conditions of Articles L.611-1 et seq. of the French Consumer Code. The name and contact details of the consumer mediator are shown on the order screen and in the confirmation email.
For a cross-border dispute, the Consumer may also contact the European Consumer Centres network.
26.4 Jurisdiction. Failing an amicable solution, the Consumer may bring proceedings before any competent court under the French Code of Civil Procedure and Consumer Code, including the court of the place where they lived when the contract was concluded or when the harmful event occurred. Between persons all of whom contracted as merchants, jurisdiction is conferred on the courts within the jurisdiction of the Besançon Court of Appeal.
Annex 1 — Articles reproduced pursuant to Article L.215-4 of the French Consumer Code
English translation for information only; the French text prevails.
Article L215-1. For service contracts concluded for a fixed term with a tacit renewal clause, the professional service provider informs the consumer in writing, by dedicated personal letter or email, no earlier than three months and no later than one month before the end of the period during which renewal may be declined, of the possibility of not renewing the contract concluded with a tacit renewal clause. This information, given in clear and understandable terms, states, in a prominent box, the deadline for declining renewal.
Where this information has not been sent to the consumer in accordance with the first paragraph, the consumer may terminate the contract free of charge at any time from the renewal date.
Advance payments made after the last renewal date or, for contracts of indefinite duration, after the date on which the initial fixed-term contract was converted, are in that case refunded within thirty days of the termination date, less the sums corresponding, up to that date, to the performance of the contract.
The provisions of this article apply without prejudice to those that legally subject certain contracts to particular rules concerning consumer information.
By way of exception to the first paragraph of this article, for contracts for the supply of a television service within the meaning of Article 2 of Law No. 86-1067 of 30 September 1986 on freedom of communication and for contracts for the supply of on-demand audiovisual media services, the consumer may terminate the contract free of charge, at any time from the first renewal, when they change residence or their tax household changes.
Article L215-1-1. Where a contract was concluded electronically, or was concluded by other means and the professional, on the day of termination by the consumer, offers the consumer the possibility of concluding contracts electronically, termination is made possible by this means.
To this end, the professional makes available to the consumer a free function for carrying out, electronically, the notification and steps necessary to terminate the contract. When the consumer notifies termination of the contract, the professional confirms receipt of the notification and informs the consumer, on a durable medium and within a reasonable time, of the date on which the contract ends and the effects of termination.
A decree sets in particular the technical arrangements for ensuring identification of the consumer and easy, direct and permanent access to the function mentioned in the second paragraph, such as how it is presented and used. It determines the information to be provided by the consumer.
Article L215-2. The provisions of this chapter, with the exception of Article L. 215-1-1, do not apply to operators of drinking water and sanitation services.
Article L215-3. The provisions of this chapter also apply to contracts concluded between professionals and non-professionals.
Article L241-3. Where the professional has not made the refund under the conditions provided for in Article L. 215-1, the sums due bear interest at the legal rate.
